1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of LUNAS Electronic Medical Record ("LUNAS EMR"), a cloud-based electronic medical record and clinic management application developed and provided by MCC Softwares-Software Development Services ("MCC Softwares," "Provider," "we," or "us").
By electronically accepting these Terms, the person accepting acknowledges that they have read and understood them and agrees to be bound by them, either personally or on behalf of the clinic or healthcare organization they are authorized to represent ("Client" or "Clinic").
The person accepting on behalf of a Clinic represents that they have the necessary authority to enter into this agreement.
If the Client does not agree, the Client must not activate or use the clinical functions of LUNAS EMR.
These Terms must be read together with the applicable Data Processing Agreement and Subscription & Billing Terms. Personal information processing is described separately in the Privacy Policy.
2. Description of Services
LUNAS EMR is a software-as-a-service (SaaS) platform designed to assist healthcare providers with electronic clinical documentation and clinic operations.
Depending on the configuration and available functionality, the platform may provide:
Patient registration and medical record management
Physician profiles and clinical documentation
Patient encounters and physician charts
Clinical measurements and vital signs
Prescription and medicine records
Custom medical documents and templates
Patient queue and appointment management
Clinic billing, inventory, and sales reports
User accounts, permissions, and access management
Administrative reporting and clinic settings
MCC Softwares may improve, update, or modify the software as reasonably necessary for maintenance, security, functionality, or regulatory compliance.
Material changes that substantially affect contracted functionality will be communicated through an appropriate notice.
3. Nature of the Software
LUNAS EMR is a technology and documentation platform. It is not a medical practitioner, hospital, medical device certification, or substitute for professional clinical judgment.
The software does not independently diagnose patients, prescribe medication, determine treatment, or guarantee the correctness of medical decisions.
All diagnoses, prescriptions, treatment plans, clinical interpretations, and other healthcare decisions remain the responsibility of the appropriate licensed healthcare professionals.
The Clinic is responsible for determining whether its intended use of the software complies with applicable medical, professional, licensing, and recordkeeping requirements.
4. Account Registration and Clinic Ownership
A Client must provide accurate registration information, including required clinic details and the identity of its authorized administrator.
The initial authorized clinic administrator is responsible for managing the Clinic's access to LUNAS EMR.
The Client must:
Maintain accurate clinic and account information.
Restrict access to authorized personnel.
Assign appropriate user roles and permissions.
Maintain the confidentiality of login credentials.
Promptly disable accounts belonging to personnel who are no longer authorized.
Notify MCC Softwares of suspected unauthorized account access.
Ensure that account users comply with these Terms.
Accounts and clinic workspaces may not be transferred to unrelated organizations without authorization from MCC Softwares and appropriate safeguards for patient information.
5. User Accounts and Permissions
LUNAS EMR provides role-based access controls for clinic personnel, including administrators, physicians, and secretaries or other supported staff roles.
Access to features and information depends on assigned permissions and the applicable subscription.
Each user must access the system using their own authorized account.
Sharing credentials, impersonating another user, bypassing permission controls, or accessing information without authorization is prohibited.
The Clinic is responsible for reviewing permissions and limiting access to information necessary for each user's assigned duties.
6. Ownership and Control of Patient Records
Medical and patient records entered or uploaded by a Clinic remain under the Clinic's applicable legal control and responsibility.
MCC Softwares does not acquire ownership of patient medical records through the provision of LUNAS EMR.
The Client authorizes MCC Softwares to process and store the information necessary to provide the subscribed services, subject to the Data Processing Agreement and applicable law.
MCC Softwares will not use identifiable patient medical records for unrelated advertising, commercial resale, or independent marketing.
Any disclosure, processing, retention, or transfer of medical records must have an appropriate legal basis and comply with applicable privacy and healthcare laws.
7. Privacy and Confidentiality
The parties shall comply with applicable Philippine privacy laws, including Republic Act No. 10173, its implementing rules, and applicable National Privacy Commission issuances.
The Clinic is generally the Personal Information Controller for patient information it collects and processes in connection with healthcare services.
MCC Softwares generally acts as a Personal Information Processor when hosting and processing patient information under the Clinic's documented instructions.
These classifications depend on the actual purposes and circumstances of processing.
The Client must provide required privacy notices and obtain consent when consent is the applicable lawful basis.
The Client must also establish appropriate confidentiality obligations for its personnel.
MCC Softwares shall handle patient information in accordance with the Data Processing Agreement.
8. Security Responsibilities
MCC Softwares will maintain appropriate technical, physical, and organizational safeguards for the services it operates, consistent with applicable law and assessed risks.
The Client is responsible for maintaining secure devices, internet connections, account credentials, and user permissions within its own operations.
Both parties agree to cooperate appropriately when investigating suspected unauthorized access, security incidents, or personal data breaches.
No internet-connected platform can be guaranteed to be entirely free of vulnerabilities or security incidents.
The specific security commitments relating to patient information are further described in the Data Processing Agreement.
9. Acceptable Use
Users must not:
Access or attempt to access another Clinic's information.
Access patient records without proper authorization.
Share accounts or deliberately circumvent permissions.
Upload malware or malicious code.
Exploit software vulnerabilities.
Interfere with the platform's availability or security.
Reverse-engineer or redistribute protected software except where legally permitted.
Use LUNAS EMR for fraudulent, unlawful, or unauthorized activities.
Misrepresent medical records, clinical identities, or professional credentials.
MCC Softwares may take proportionate action against violations, including restricting affected accounts where reasonably necessary to protect security and other users.
Any restriction involving patient medical records must consider applicable access, preservation, and legal obligations.
10. Subscriptions and Free Trial
LUNAS EMR is offered under a subscription-based service model.
The available Pro subscription supports one Clinic and up to five user accounts.
New eligible Clinics may receive a 14-day free trial beginning after successful registration and email verification.
Subscription fees, payment methods, renewal rules, expiration, and cancellation are governed by the Subscription & Billing Terms.
The Client must maintain an active subscription to use subscription-restricted clinical functions after the trial period.
11. Subscription Expiration
When a subscription or trial expires, LUNAS EMR may restrict functions that create, modify, or process new clinical records.
The Client will retain read-only access to existing records and access to available self-service export functionality while the relevant records remain retained and accessible under the applicable data retention and termination policy.
The Client remains responsible for ensuring continuity of patient care and maintaining legally required medical records.
The duration and procedure for accessing records after account termination are subject to the finalized retention and termination provisions.
12. Service Availability and Maintenance
MCC Softwares will use reasonable efforts to maintain the availability, security, and proper operation of LUNAS EMR.
The service may occasionally become unavailable due to maintenance, software updates, technical failures, internet connectivity problems, hosting issues, cybersecurity incidents, or circumstances beyond reasonable control.
Unless otherwise agreed in writing, MCC Softwares does not provide a guaranteed uptime percentage or service-credit commitment.
Where practicable, advance notice will be given for scheduled maintenance expected to materially interrupt service.
The Clinic should maintain appropriate operational contingency procedures for periods when the platform is unavailable.
13. Data Backup and Recovery
The service's planned backup arrangements include daily and weekly database backups.
These backups are intended for business continuity and technical recovery and should not be treated as a substitute for the Clinic's own compliance obligations.
The availability, retention period, recoverability, and restoration procedures for backup copies must be defined in the applicable operational policies.
MCC Softwares does not represent that all changes can always be restored without any loss of information.
14. Intellectual Property
LUNAS EMR, including its software code, interface design, application features, branding, and associated proprietary materials, belongs to MCC Softwares or its applicable licensors.
A subscription grants the Client a limited, nonexclusive, nontransferable right to access and use LUNAS EMR for its authorized internal clinic operations during the applicable service period.
It does not transfer ownership of the software, source code, trademarks, or other intellectual property.
The Client retains its applicable rights in clinical content and records supplied through the platform.
15. Support and Technical Assistance
Clients may request technical assistance by contacting:
Support may include troubleshooting, account guidance, and assistance with supported software features.
Support involving patient information is subject to appropriate authorization and confidentiality safeguards.
No guaranteed response or resolution time is established unless separately agreed in writing.
16. Suspension and Termination
The Client may discontinue use of the service in accordance with the Subscription & Billing Terms.
MCC Softwares may suspend affected access where reasonably necessary in response to serious security risks, unauthorized activity, material breaches of these Terms, or binding legal requirements.
Where practicable and lawful, MCC Softwares will provide notice and an opportunity to address the issue.
For ordinary planned discontinuation of the service by MCC Softwares, the Provider will give at least 30 days' prior notice, unless a shorter period is required by law or an urgent circumstance makes advance notice impracticable.
Termination does not automatically authorize immediate deletion of patient information.
Data retention, export, and deletion will be handled according to applicable law and the finalized Data Processing Agreement.
17. Disclaimer and Limitation of Liability
MCC Softwares will provide the service with reasonable care consistent with its contractual obligations.
The software is a support tool and does not guarantee clinical outcomes, uninterrupted operation, or freedom from all technical errors.
To the extent permitted by applicable law, neither party shall be responsible for losses caused solely by circumstances outside its reasonable control.
Any agreed limitation of financial liability, exclusion of particular damages, or allocation of responsibility must be specified in a separately finalized and legally reviewed clause.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability arising from conduct for which such limitations are prohibited by law.
18. Changes to the Terms
MCC Softwares may update these Terms to reflect operational, legal, or security changes.
Material updates will be communicated through the application, registered contact email, or another appropriate channel.
Where renewed acceptance is required, the system will request express acceptance of the applicable updated version.
Each accepted agreement version and its acceptance record will be preserved for audit purposes.
19. Electronic Acceptance
The parties agree that the Terms may be presented and accepted electronically, subject to applicable requirements under Philippine law.
The system may record the accepting user's identity, Clinic, agreement version, acceptance timestamp, and relevant security metadata as evidence of acceptance.
20. Governing Law and Disputes
These Terms are governed by the laws of the Republic of the Philippines.
The parties shall initially attempt to resolve disputes through good-faith written communication.
If the dispute cannot be resolved, appropriate legal proceedings may be brought before courts or authorities having jurisdiction under Philippine law.
Nothing in these Terms restricts nonwaivable statutory rights or remedies.
21. Severability
If a provision is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
