Product: LUNAS Electronic Medical Record (LUNAS EMR)

1. Introduction

These Subscription & Billing Terms ("Terms") govern the free trial, core subscriptions, separately purchased optional services, prepaid service credits or minutes, payments, renewals, cancellations, expiration, storage limitations, and related commercial conditions for LUNAS Electronic Medical Record ("LUNAS EMR").

LUNAS EMR is a cloud-based electronic medical record and clinic management platform developed and provided by MCC Softwares-Software Development Services ("MCC Softwares," "Provider," "we," "our," or "us").

These Terms apply to healthcare clinics, physicians, clinic administrators, and other authorized customers ("Client," "Clinic," "Subscriber," or "you") who register for or purchase access to LUNAS EMR.

By purchasing a subscription or electronically accepting these Terms, the Client confirms that the applicable conditions have been reviewed and accepted.

These Terms supplement the LUNAS EMR Terms of Service, Privacy Policy, and Data Processing Agreement.

In the event of an inconsistency, applicable mandatory law shall prevail.

2. Available Subscription Plans

LUNAS EMR currently describes two core paid subscription plans:

  1. LUNAS EMR Pro

  2. LUNAS EMR Pro+

Both plans provide access to the available core electronic medical record and clinic management features, subject to authorized user permissions, storage allocations, and applicable service conditions.

2.1 LUNAS EMR Pro

Monthly Subscription: PHP 799.00
Yearly Subscription: PHP 9,588.00
Online Storage: 1 GB
Registered Clinics: 1
Authorized User Accounts: Up to 5

The Pro subscription includes:

  • Patient registration and information management

  • Electronic medical records

  • Physician profiles and clinical documentation

  • Patient encounter records

  • Physician charts

  • Clinical measurements and vital signs

  • Medicine and prescription records

  • Medical documents and form templates

  • Patient queue and appointment management

  • Clinic billing and inventory features

  • Administrative and clinic configuration features

  • Role-based access and user management

  • 1 GB of allocated online storage for each subscribed Clinic

  • Other available core features included in the Pro subscription

Access to specific functions may depend on the assigned user role and the current availability of each feature.

2.2 LUNAS EMR Pro+

Monthly Subscription: PHP 1,199.00
Yearly Subscription: PHP 14,388.00
Online Storage: 5 GB
Registered Clinics: 1
Authorized User Accounts: Up to 5

The Pro+ subscription includes:

  • All available LUNAS EMR Pro features

  • 5 GB of allocated online storage for each subscribed Clinic

  • Eligibility for additional features that may be offered specifically to Pro+ subscribers

  • Access to optional voice or video consultation features only if explicitly offered under the selected package or a separately purchased add-on

Pro+ subscribers receive a higher online storage allocation while maintaining the same core EMR functionality and user-account entitlement as Pro subscribers.

2.3 Optional Online Consultation Features

MCC Softwares may introduce online consultation capabilities, including video and voice communication between healthcare professionals and patients.

These capabilities are planned and are not guaranteed to be available at the time of subscription purchase.

If introduced, their availability may depend on technical compatibility, regulatory requirements, service-provider availability, and separate feature activation.

MCC Softwares will disclose whether consultation features are included in a particular plan, are offered through prepaid minute packages, or require a separate purchase before the Client activates or purchases them. Pro+ does not automatically include free consultation minutes.

Healthcare professionals remain responsible for determining whether remote consultation is legally and clinically appropriate, verifying patient identity, obtaining required consent, and complying with applicable professional and privacy requirements.

2.4 Planned SMS Credit Packages (Coming Soon)

MCC Softwares may offer optional prepaid SMS credits for clinic messages, including appointment reminders, notifications, and other permitted communications. SMS is not currently represented as an included entitlement of Pro or Pro+ and may require a separate purchase once launched.

Before purchase, the Client shall be shown the price, number of credits, applicable destination or message restrictions, rate of deduction, any promotional allowance, expiration date or non-expiration rule, and refund or adjustment terms. No credit-expiration policy is established by these Terms in advance; it must be disclosed for each package before sale.

A credit may be deducted when an SMS transmission is accepted for processing, submitted to a gateway, or delivered, according to the specific policy displayed at purchase. Provider acceptance does not necessarily guarantee recipient delivery. The applicable policy must clearly describe treatment of failed, rejected, duplicate, or undeliverable messages and when credits will be restored, if at all.

Message rates may vary by destination, message length, encoding, network, or provider requirements. One long SMS may consume more than one credit if disclosed in the applicable package rules. Clients must obtain the necessary permissions and consents for patient communications and shall not send unsolicited marketing, unlawful, or abusive messages. Clinical or sensitive information should be minimized and handled under the Privacy Policy and Data Processing Agreement.

2.5 Planned Online Voice and Video Consultation Packages (Coming Soon)

MCC Softwares may introduce optional voice and video consultation functionality with separately purchased prepaid minute packages, usage-based charges, or explicitly included promotional allowances. Availability, pricing, minute allotments, session limits, geographic coverage, technical requirements, and any expiration conditions will be displayed before purchase or activation.

Unless the published offer expressly provides otherwise, a core Pro or Pro+ subscription does not include free voice or video consultation minutes. The method for calculating billable minutes—including whether charges are based on session time, participant-minutes, or another unit—will be stated before purchase. This document does not establish a fixed rate or package size.

The published package rules must state when metering begins and ends, how partial minutes are rounded, whether an interrupted or failed session consumes minutes, whether unused minutes carry over, and whether unused packages expire or are refundable. Technical service interruptions and billing disputes may be assessed under the disclosed adjustment policy and applicable law.

Online consultations are not emergency services and may not be appropriate for all clinical situations. The Clinic and its healthcare professionals remain responsible for patient identification, appropriate consent, clinical suitability, documentation, professional licensing and legal compliance. Any recording or retention of voice/video sessions requires a separately disclosed, lawful basis and applicable consent or authorization; no recording service is promised by these Terms.

2.6 Separate Entitlements and Launch Availability

SMS credits and voice/video consultation minutes, if launched, are separate entitlements from the main EMR subscription unless a specific offer explicitly bundles them. They shall be tracked separately by Clinic, with purchase history and usage information available through the supported application interface.

Descriptions labeled Coming Soon are informational only. They do not guarantee a launch date, specific functionality, pricing, availability, provider, or complimentary credits or minutes. No Client is charged for an unlaunched service merely by accepting these Terms.

3. Subscription Pricing

The following prices apply to the listed core EMR plans, not to planned optional SMS or consultation packages:

Subscription PlanMonthly PriceYearly PriceOnline Storage
LUNAS EMR ProPHP 799.00PHP 9,588.001 GB
LUNAS EMR Pro+PHP 1,199.00PHP 14,388.005 GB

All prices are expressed in Philippine pesos (PHP).

The listed annual subscriptions cover twelve months at the stated yearly price.

Annual subscriptions do not currently include a separately advertised annual discount.

Any applicable taxes, transaction charges, or other amounts must be clearly disclosed before payment confirmation.

The total amount payable shall be presented to the Client before completing the transaction. Optional prepaid services, when available, shall show their own purchase price and usage terms separately from Pro and Pro+.

MCC Softwares reserves the right to revise subscription prices for future subscription purchases or renewal periods, subject to appropriate advance disclosure and applicable law.

Price adjustments shall not retroactively increase the price of a subscription period already paid for.

4. Fourteen-Day Free Trial

4.1 Trial Eligibility

Eligible newly registered Clinics may receive a fourteen-day free trial of LUNAS EMR.

The free trial is intended to allow prospective Clients to evaluate the available software features before purchasing a paid subscription.

MCC Softwares may apply reasonable eligibility controls to prevent repeated or fraudulent use of trial accounts.

4.2 Trial Start Date

The fourteen-day free trial begins after successful account registration and email verification.

The system records the trial start date and calculates the trial expiration based on fourteen consecutive twenty-four-hour periods.

Delayed completion of clinic onboarding does not automatically restart or extend the free trial.

4.3 Trial Features and Storage

During the free trial, the Clinic may access the functions and storage allocation assigned to its trial account.

The particular trial storage entitlement shall be displayed during registration or onboarding.

A free trial does not automatically guarantee access to features that are unavailable, experimental, separately priced, or not included in the assigned trial configuration.

4.4 No Automatic Payment

The free trial does not automatically convert into a paid subscription.

MCC Softwares will not automatically charge the Client at the end of the trial without separate payment authorization.

The Client must select and purchase a paid subscription to continue using subscription-restricted clinical functions after the trial expires.

4.5 Trial Expiration

When the fourteen-day free trial expires without a paid subscription, clinical creation and modification functions may become restricted.

Existing records remain accessible in read-only mode, with available self-service export functionality, subject to applicable data retention, security, and account-termination requirements.

5. Subscription Purchase and Activation

A Client may purchase a Pro or Pro+ subscription through the available LUNAS EMR subscription management interface. Optional add-on packages, if introduced, may be purchased through separate supported interfaces and shall be identified as separate products.

Before payment, the Client shall be shown:

  • Selected subscription plan

  • Monthly or yearly billing period

  • Subscription price

  • Included online storage

  • Number of authorized user accounts

  • Applicable taxes or additional charges, if any

  • Total amount payable

  • Available payment method

  • Applicable Subscription & Billing Terms

A subscription becomes active only after the payment has been successfully verified and the subscription activation has been recorded by LUNAS EMR.

Payment attempts that are pending, unsuccessful, canceled, or otherwise unconfirmed do not constitute completed subscription purchases.

The Client shall be able to review the recorded subscription status and expiration date through the application's subscription information interface.

6. Accepted Payment Methods

LUNAS EMR may accept subscription payments through supported payment gateways, including:

  • Maya

  • PayMongo

The actual methods available to a Client depend on the payment providers and payment channels enabled in the production application.

These may include payment cards, electronic wallets, or other methods supported by the selected provider.

Payment transactions may be governed by the separate terms and privacy practices of the applicable payment service provider.

MCC Softwares shall use payment confirmation and transaction reference information to determine whether a subscription payment has been completed.

Clients must provide accurate and authorized payment information.

MCC Softwares is not responsible for payment failures caused solely by a Client's bank, payment provider, or incorrectly supplied payment information, except to the extent required by applicable law.

7. Manual Subscription Renewal

LUNAS EMR uses a manual core subscription renewal system. Any future prepaid SMS or consultation purchase is a separate, manually authorized transaction unless the Client expressly opts into an independently disclosed recurring arrangement.

Subscriptions do not automatically renew.

The Client must manually authorize and complete a new payment to renew the subscription.

No recurring payment shall be initiated by MCC Softwares solely because the Client previously subscribed.

Renewal is available through the application's subscription management interface when supported.

The Client is responsible for reviewing subscription expiration information and completing renewal before the current subscription period ends to avoid interruption of clinical functions.

7.1 Renewal Before Expiration

The subscription system shall display the resulting activation and expiration dates before or upon renewal confirmation.

Payment for renewal must not silently erase any remaining paid subscription time.

The exact renewal-period calculation shall follow the published and implemented subscription renewal rules.

7.2 Renewal After Expiration

An expired Clinic may purchase a new subscription period.

After successful payment verification, the application may restore the applicable clinical functions according to the Client's purchased plan and assigned permissions.

Restoration does not authorize the modification or deletion of historical medical records except through normal authorized application functions.

8. Subscription Period and Expiration Date

A monthly subscription provides access for the applicable monthly subscription period.

A yearly subscription provides access for the applicable annual subscription period.

The authoritative start date, expiration date, subscription status, and billing period are maintained by the LUNAS EMR subscription system.

These details shall be accessible to the Client through the application's subscription management interface.

All subscription-related timestamps shall be calculated consistently by the system.

A subscription remains subject to its expiration date regardless of whether the Client actively uses the application throughout the paid period.

9. Subscription Expiration and Access Restrictions

When a core EMR subscription expires without renewal, the application may restrict clinical and administrative functions requiring an active subscription. Separately purchased add-on balances are not automatically erased solely because the core subscription expires. The ability to use such balances during suspension or after renewal depends on the package rules disclosed at purchase and lawful technical access requirements.

Restricted activities may include:

  • Registering new patients

  • Editing existing patient information

  • Creating or modifying clinical encounters

  • Adding or editing clinical measurements

  • Creating or modifying physician charts

  • Adding prescription records

  • Creating or editing medical documents

  • Recording new patient billing transactions

  • Adding new inventory transactions

  • Performing other subscription-restricted clinical operations

The exact restrictions shall be enforced by the system's applicable subscription access policies.

9.1 Read-Only Access

Following subscription expiration, authorized Clinic users may continue to view existing retained records through supported read-only functionality.

The Clinic may access available self-service export features in accordance with applicable security and retention arrangements.

Read-only access does not permit creating, editing, or deleting medical records through subscription-restricted functions.

9.2 Protection of Existing Medical Records

Subscription expiration does not automatically delete existing medical records.

The Clinic retains its applicable legal control and responsibilities concerning patient information.

The storage, retention, return, and deletion of records remain subject to the Data Processing Agreement, applicable law, and the agreed data retention and termination policy.

9.3 Account Termination

Subscription expiration and account termination are separate events.

An expired subscription may remain eligible for renewal while records are retained under the applicable policy.

The duration of post-termination record access and storage must follow the finalized and published data retention arrangements.

10. Online Storage Allocation

Each subscription includes a defined online storage allocation.

10.1 Storage Entitlements

LUNAS EMR Pro: 1 GB per Clinic

LUNAS EMR Pro+: 5 GB per Clinic

Storage limits apply to the Clinic subscription as a whole and are shared among its authorized users.

They are not individual storage allocations for each user account.

10.2 Storage Usage

Online storage may include uploaded patient images, medical documents, laboratory attachments, and other stored files according to the application's published storage accounting rules.

The specific file categories counted toward the subscription allocation shall be determined by the documented and implemented storage accounting policy.

The allocation does not automatically imply a separate allowance for every category of record.

10.3 Reaching the Storage Limit

When a Clinic reaches or exceeds its allocated online storage capacity:

  • Additional file uploads may be restricted.

  • Existing retained records shall not be automatically deleted solely because the storage limit has been reached.

  • Authorized users may be allowed to remove unnecessary files in accordance with applicable permissions and record-retention requirements.

  • The Client may upgrade to a plan with a larger storage allocation.

The system should notify the Clinic when storage usage approaches or reaches the applicable limit.

10.4 Storage Monitoring

The Clinic may review its allocated storage and current usage through the available subscription or storage management interface.

Any displayed storage values must correspond to the application's actual storage accounting rules.

10.5 Storage and Subscription Expiration

Subscription expiration does not itself increase or reset the Clinic's storage allocation.

Existing records remain subject to the applicable retention, security, and access requirements.

11. Subscription Upgrades and Downgrades

Clients may change between Pro and Pro+ when plan-change functionality is supported by the application.

11.1 Upgrade from Pro to Pro+

An upgrade from Pro to Pro+ increases the Clinic's online storage allocation from 1 GB to 5 GB.

Both plans continue to allow one Clinic and up to five authorized user accounts.

Before an upgrade is completed, the Client shall be informed of the applicable payment amount, effective date, and revised subscription entitlements.

11.2 Downgrade from Pro+ to Pro

A downgrade from Pro+ to Pro reduces the Clinic's online storage entitlement from 5 GB to 1 GB.

If the Clinic's existing storage usage exceeds 1 GB, existing records shall not automatically be deleted as a result of the downgrade.

Additional file uploads may be restricted until storage usage is within the Pro allocation.

11.3 Billing Adjustments

Any immediate plan changes, prorated charges, unused subscription credits, or changes to the subscription expiration date shall follow the plan-change rules disclosed at the time of the transaction.

No prorated credit or automatic refund is guaranteed unless specifically offered or required by applicable law.

A plan change shall not be processed without appropriate Client authorization.

12. Subscription Cancellation

Because subscriptions use manual renewal, a Client may discontinue future subscription payments simply by not purchasing a new subscription period.

The Client may also contact MCC Softwares to request termination of the account relationship.

Cancellation does not automatically entitle the Client to a refund for the remaining paid subscription period, except where legally required.

The Client should export necessary Clinic records before any applicable termination-related access period ends.

Patient data must be handled in accordance with the Data Processing Agreement and applicable record-retention laws.

13. Refund Policy

Core subscription payments are generally nonrefundable after successful processing, except where a refund is required by applicable Philippine law. Future SMS or consultation packages shall have separately disclosed refund, adjustment, and unused-balance terms before purchase; these must not override mandatory consumer or other legal rights.

This policy does not limit legally protected consumer rights or remedies.

Refund requests may be submitted to:

info@mccsoftwares.com

Requests should include sufficient information to identify the relevant subscription transaction without requiring unnecessary disclosure of sensitive payment information.

MCC Softwares shall review refund requests according to applicable law and the circumstances of the transaction.

Approved refunds may be processed through the original payment provider or another appropriate method.

Processing times may vary depending on the relevant payment provider.

14. Failed, Pending, or Reversed Payments

A subscription payment may fail or remain incomplete because of:

  • Insufficient funds

  • Payment provider rejection

  • Incorrect payment information

  • Transaction cancellation

  • Network or system interruption

  • Payment verification failure

  • Other payment processing issues

An unsuccessful payment shall not automatically activate a subscription.

Where a payment is later reversed, disputed, or identified as unauthorized, MCC Softwares may review and correct the associated subscription status, subject to applicable law and appropriate investigation.

The Client may contact MCC Softwares for assistance with disputed subscription transactions.

15. Payment Confirmation and Billing Records

After successful payment verification, LUNAS EMR shall maintain an appropriate record of the core subscription or separately purchased add-on transaction.

The record may include:

  • Clinic name

  • Subscription plan

  • Billing period

  • Payment amount

  • Payment date

  • Payment method

  • Transaction reference

  • Payment status

  • Subscription activation date

  • Subscription expiration date

  • Purchased add-on type, quantity, unit, and applicable validity period (if any)

  • Credits or minutes added, used, reversed, or adjusted where supported

Applicable invoices and other required billing documents shall be issued in accordance with Philippine tax and invoicing requirements.

A payment confirmation or subscription status display does not necessarily replace an official tax invoice where one is legally required.

16. Subscription Notifications

LUNAS EMR may display subscription status and expiration information within the application.

The Provider may also send subscription-related email notices when the necessary notification features are enabled.

These may include:

  • Trial expiration notices

  • Subscription expiration reminders

  • Payment confirmation notices

  • Subscription renewal confirmations

  • Failed payment notices

  • Material subscription policy changes

  • Optional add-on purchase and balance notifications, when enabled

The Client is responsible for maintaining an accurate registered email address.

Failure to receive a notification does not automatically extend a subscription.

17. User Account Limits

Both Pro and Pro+ subscriptions allow up to five authorized user accounts per registered Clinic.

Users may include:

  • Clinic administrator or physician accounts

  • Secretary accounts

  • Other permitted staff accounts supported by LUNAS EMR

The actual roles and permitted account types depend on the application's existing authorization rules.

Each user must have an appropriate authorized account.

Account credentials must not be shared to circumvent the subscription's user limit.

Additional accounts beyond the subscribed entitlement are not included unless expressly authorized through a supported subscription offering.

18. Service Availability and Maintenance

MCC Softwares will use reasonable efforts to maintain the availability and functionality of LUNAS EMR.

The platform may occasionally be unavailable due to:

  • Scheduled maintenance

  • Software updates

  • Hosting or infrastructure problems

  • Internet connectivity interruptions

  • Security incidents

  • Technical faults

  • Circumstances beyond reasonable operational control

Unless separately agreed in writing, no specific uptime percentage or guaranteed uninterrupted service is provided.

MCC Softwares shall make reasonable efforts to communicate planned maintenance expected to materially affect service availability.

This provision does not exclude obligations or remedies that cannot lawfully be excluded.

19. Data Backup and Recovery

LUNAS EMR's intended operational arrangements include daily and weekly database backups.

Backups are intended to assist in recovery from technical problems, unexpected failures, or data loss incidents.

The Provider shall maintain appropriate safeguards for backup information consistent with applicable privacy and security obligations.

The precise backup retention period, storage location, restoration capability, and secure disposal schedule shall be governed by the documented operational policies.

Backups do not guarantee that every recently entered record can always be restored without loss.

The Client remains responsible for appropriate healthcare business continuity and recordkeeping arrangements.

20. Patient Information and Privacy

Patient information recorded through LUNAS EMR generally remains under the legal control and responsibility of the subscribing Clinic.

MCC Softwares ordinarily processes such information on behalf of the Clinic under the applicable Data Processing Agreement.

Subscription payments do not transfer ownership of patient medical records to MCC Softwares.

MCC Softwares shall not sell identifiable patient records or use them for unrelated advertising. SMS and consultation service providers, if used, shall receive only information reasonably necessary for the applicable service, subject to appropriate agreements, disclosure, security measures and lawful processing.

The Clinic remains responsible for lawful collection, accuracy, medical documentation, appropriate user access, and compliance with applicable healthcare and privacy requirements.

21. Data Export and Portability

LUNAS EMR provides for self-service export of available retained Clinic records through supported functionality.

Export access shall be subject to appropriate user authorization and security safeguards.

The Clinic is responsible for securely managing exported records and protecting sensitive patient information after export.

The exact export formats, attachment coverage, and supported methods shall follow the application's published and implemented export capabilities.

An expired subscription does not, by itself, terminate lawful access to records that remain available under the applicable retention policy.

22. Data Retention After Termination

The retention of medical records after service termination must comply with applicable Philippine privacy and healthcare recordkeeping requirements, together with the relevant Controller instructions and contractual obligations.

MCC Softwares shall not retain personal information indefinitely without a valid purpose or lawful basis.

The Provider shall establish a documented post-termination process addressing:

  • Data export and retrieval

  • Primary database retention

  • Backup retention

  • Secure deletion

  • Legal preservation requirements

  • Closure of Clinic access

Post-Termination Data Retention Period: [TO BE FINALIZED]

Post-Termination Export Access Period: [TO BE FINALIZED]

Backup Retention and Deletion Period: [TO BE FINALIZED]

These periods must be finalized and disclosed before this agreement is published.

Nothing in this section authorizes immediate deletion of medical records when preservation is required by applicable law.

23. Changes to Subscription Prices or Features

MCC Softwares may introduce, improve, discontinue, or modify subscription features, subject to applicable law and existing contractual obligations.

Changes affecting future purchases or renewal periods shall be disclosed before the Client authorizes payment.

Material changes to already purchased entitlements shall be handled in accordance with applicable law and any binding service commitments.

Additional subscription plans or optional paid features, including SMS credit packages and voice/video consultation packages, may be introduced in the future. Such add-ons may be priced, purchased, accounted for, and expired separately from core subscriptions, subject to the specific terms displayed before purchase.

The introduction of new features does not automatically create an entitlement to receive them without additional payment unless expressly included in the Client's subscription.

24. Misuse of Subscription Services

Clients shall not:

  • Use one Clinic subscription for multiple unrelated Clinics.

  • Intentionally exceed authorized user limits.

  • Circumvent storage restrictions.

  • Manipulate payment confirmations.

  • Fraudulently obtain subscription access.

  • Create duplicate accounts for repeated free-trial abuse.

  • Share or resell subscription access without authorization.

  • Bypass the application's subscription restrictions.

  • Send unauthorized or unlawful SMS communications, or attempt to manipulate credit or consultation-minute balances.

  • Misuse online consultation services, impersonate patients or clinicians, or record sessions without applicable authorization.

MCC Softwares may investigate suspected misuse and take proportionate action consistent with the Terms of Service and applicable law.

Security-related restrictions must be implemented with appropriate consideration for the confidentiality, integrity, preservation, and lawful availability of patient records.

25. Service Discontinuation

If MCC Softwares plans to discontinue LUNAS EMR as a service, it shall ordinarily provide at least thirty days' advance notice to affected Clients.

The notice may be delivered through the application, registered email address, or another appropriate communication method.

A shorter notice period may apply where required by law or where circumstances beyond reasonable control make ordinary notice impracticable.

The Provider shall address Client data export, retention, and service closure in accordance with the Data Processing Agreement and applicable legal requirements.

Service discontinuation does not extinguish mandatory obligations concerning patient information.

26. Technical Support

Clients may contact MCC Softwares regarding subscription, account, payment, or software-related concerns.

Support Email: info@mccsoftwares.com

Support assistance may include:

  • Subscription activation issues

  • Payment verification concerns

  • Subscription renewal assistance

  • Account access problems

  • Storage allocation inquiries

  • Technical troubleshooting

  • General software assistance

Unless separately agreed in writing, no guaranteed support response time or resolution time is established.

Support access to patient information remains subject to the applicable confidentiality and authorization requirements.

27. Medical Responsibility

LUNAS EMR is a technology platform intended to assist healthcare professionals and Clinics with electronic documentation and clinic administration.

The Provider does not independently deliver medical diagnosis, treatment, or clinical judgment through the core EMR software.

Licensed healthcare professionals remain responsible for clinical decisions, prescriptions, patient care, and the accuracy of their professional medical documentation.

The Clinic remains responsible for ensuring that its users hold appropriate qualifications and comply with applicable laws and professional standards.

28. Limitation of Liability

MCC Softwares shall perform its contractual obligations with reasonable care and in accordance with applicable law.

The Provider does not guarantee uninterrupted service or the absence of every possible technical error.

The Clinic remains responsible for clinical decisions and information entered by its authorized personnel.

Any monetary liability cap or exclusion of particular damages must be set out in a separate, clearly drafted provision reviewed for enforceability under Philippine law.

Nothing in these Terms limits liability, consumer remedies, privacy rights, or other protections that cannot lawfully be excluded or restricted.

29. Amendments to These Terms

MCC Softwares may update these Subscription & Billing Terms to reflect changes in pricing, features, business practices, legal requirements, or service operations.

Each published version shall display its effective date and version number.

Material changes shall be communicated through an appropriate channel.

Where renewed acceptance is necessary, the authorized Clinic representative shall be requested to review and accept the applicable updated Terms.

Historical acceptance records and previously accepted document versions shall be retained for appropriate legal and audit purposes.

30. Electronic Agreements

The Client may accept these Terms electronically through the LUNAS EMR application.

The system may record information associated with acceptance, including:

  • Accepting user identity

  • Registered Clinic identity

  • Document version

  • Date and time of acceptance

  • Relevant electronic acceptance and audit metadata

Electronic acceptance shall be handled consistently with the applicable requirements of Philippine law, including Republic Act No. 8792, otherwise known as the Electronic Commerce Act.

31. Governing Law and Dispute Resolution

These Subscription & Billing Terms shall be governed by the laws of the Republic of the Philippines.

The parties shall first attempt to resolve contractual disputes through good-faith communication.

Unresolved disputes may be brought before the competent courts or authorities having jurisdiction under Philippine law.

Nothing in these Terms removes statutory rights or remedies that cannot lawfully be waived.

32. Severability

If any provision is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in effect to the extent permitted by applicable law.

The affected provision shall be interpreted or addressed in a manner consistent with the parties' lawful intentions where permissible.
